1. Who these terms apply to
These terms govern subcontractor registration and, when incorporated into an agreed subcontract or work order, engagement by GC Innovations Limited trading as Evolve Homes (CRO 579715), registered at Unit 6C, KCR Estate, Ravensdale Park, Kimmage, Dublin 12, D12 FC65. The subcontractor is the legal business identified in the registration. The person accepting confirms authority to act for that business. Registration is an application for review: it does not approve the business, create a work order or guarantee work.
2. Agreeing the work
Before work starts, both parties must agree a written subcontract or work order identifying the project, scope, drawings/specifications, price or rates, programme, responsibilities, insurance requirements and any project-specific conditions. An expressly agreed project-specific term takes precedence over a conflicting general term, subject always to applicable law. No retention, discount, penalty or additional payment condition is imposed by this registration; any such proposal must be separately and expressly agreed and lawful.
3. Weekly invoices and payment
Subcontractors may invoice weekly for work properly carried out and amounts due under the agreed work order. Evolve Homes will pay within 28 calendar days after receipt of a valid invoice, or by an earlier date required by applicable law. This payment period is measured from receipt, not from an internal approval date, and payment is not conditional on Evolve Homes receiving payment from its customer. Send invoices through the channel specified in the work order; that order must identify the relevant invoicing contact.
4. What makes an invoice valid
An invoice must identify the subcontractor's legal name, business address and contact details; a unique invoice number and invoice date; the Evolve Homes legal entity; the project and work-order/purchase-order reference where provided; the work period; an itemised description of completed work, quantities/rates or agreed stage value; agreed variations claimed; the amount due; and the VAT registration details and VAT treatment required by law, where applicable. Provide reasonably necessary supporting records identified in the work order. Payment details must be verified separately through an agreed secure process. Evolve Homes will identify genuine invoice queries promptly and explain the amount and reason in dispute. Any undisputed amount remains payable on time. Administrative approval delays or immaterial errors do not justify withholding a sum that is otherwise due. Corrections must be handled consistently with applicable statutory payment deadlines.
5. Statutory payment and tax rights
Nothing in these terms excludes or reduces rights under the Construction Contracts Act 2013 where it applies, including payment-claim notices, responses to disputed claims, adjudication or lawful suspension. Statutory late-payment interest and compensation rights are preserved. Each party must meet its own tax obligations. Evolve Homes will operate Relevant Contracts Tax (RCT) withholding and reporting as required by Revenue. VAT, including the construction-services reverse charge where applicable, must be invoiced correctly. Tax deductions required by law will be accounted for to the subcontractor. Tax-clearance and registration evidence may be requested before engagement.
6. Quality, competence and variations
Provide suitably qualified, competent and supervised personnel and carry out the agreed work with reasonable skill and care, in accordance with the agreed specification and applicable building, employment and other legal requirements. Supply relevant trade registrations, certificates and completion documentation. Obtain written agreement to changes in scope, price and time before carrying out a variation, except action immediately necessary to protect people or property, which must be reported without delay. Notify Evolve Homes promptly of errors, unforeseen conditions or likely delays and cooperate on a revised plan.
7. Safety and site conduct
Comply with applicable health and safety duties, the construction safety plan, site rules and lawful site-management instructions. Provide an appropriate safety statement, task-specific risk assessments and method statements before work starts, and relevant Safe Pass, CSCS or other competence evidence where required. Complete site inductions, use suitable equipment and PPE, maintain a tidy site and report hazards, incidents and damage promptly. Do not proceed with unsafe work. Respect residents, neighbours and other trades. These terms do not transfer any statutory duty from the person on whom the law places it.
8. Insurance and personnel
Maintain appropriate, current public liability insurance throughout the engagement and employers' liability cover where employing staff, with activities, limits and conditions suitable for the agreed work. Maintain professional indemnity insurance where responsible for design or professional advice and agreed as required for that work. Supply certificates and evidence of scope when requested, notify Evolve Homes of cancellation, lapse or material changes promptly, and renew evidence before expiry. Uploading a certificate does not mean that cover has been checked or accepted. Do not delegate the agreed work to another subcontracting business without prior written agreement. The subcontractor remains responsible for its personnel and approved subcontractors and for its employment and tax obligations; actual working arrangements and applicable law determine employment status.
9. Property, information and defects
Take reasonable care of the site, existing property, materials and other people's work. Report damage or defective work promptly and agree the corrective action. The subcontractor must remedy defects attributable to its work within a reasonable agreed period, without limiting applicable contractual or statutory rights. Protect confidential project and customer information, use personal data only as necessary for the work and in accordance with data-protection law, and do not publish project photographs or customer information without permission.
10. Stopping work and resolving issues
Raise concerns promptly with the nominated Evolve Homes project contact. Either party may seek to end an engagement for a material breach after written notice and a reasonable opportunity to remedy it; immediate suspension may be necessary for serious safety risks or unlawful activity. Project-specific termination arrangements must be agreed in the work order. Properly due accrued payments remain payable. Attempt to resolve disputes through discussion without preventing either party from exercising statutory adjudication, suspension or other legal rights. Irish law applies and the Irish courts have jurisdiction, subject to mandatory statutory rights.
11. Your registration and acceptance
Keep registration details accurate and tell Evolve Homes when contact, legal, insurance or compliance details change. We record the accepted version of these terms, the signatory's name and the submission time. Changes to these terms will not retrospectively alter an agreed work order without agreement. See our privacy notice for how registration information and insurance documents are used. Contact sales@evolvehomes.ie with registration questions.
